Biography
Christopher Wirth is a Florida business and transactional attorney, and a business operator himself. He owns and runs an ice cream shop his family built from the ground up, and before that helped build multiple food-service locations, including franchise operations. Having signed the leases, the vendor contracts, and the personal guaranties himself, he counsels closely held businesses with an owner's perspective on the consequences of a deal, not just its paperwork.
Christopher represents small business owners, entrepreneurs, closely held companies, and professional-practice owners throughout Brevard County and across Florida, focused on the deals and documents that build, combine, and transition businesses.
As a business and transactional attorney, Christopher's experience includes mergers, acquisitions, and business sales and the contract architecture around them: asset purchase agreements, stock and membership-interest transactions, letters of intent, non-competition and non-solicitation covenants, escrow and indemnification structures, and closing mechanics. He advises on entity selection and formation, LLC operating agreements, and holding-company structures, including Florida's new protected series LLC, authorized under Chapter 605 of the Florida Statutes effective July 1, 2026, which allows a single parent LLC to hold multiple ventures or properties in separate protected series with liabilities shielded between them. He reviews Franchise Disclosure Documents (FDDs) and franchise agreements for prospective franchisees, informed by his own experience as a franchisee. He also serves as ongoing commercial counsel for the agreements a business relies on day to day, including master services and vendor agreements, nondisclosure agreements, licensing and service agreements, commercial leases, and data privacy agreements, calibrating risk to each client's actual tolerance rather than to boilerplate.
As counsel to dental and healthcare practices, Christopher works with dentists, physicians, and other licensed professionals on the matters specific to a professional practice: PA/PLLC structuring and ownership eligibility, Board of Dentistry and licensure requirements, de novo practices and practice acquisitions, group and dental support organization (DSO) structures, malpractice tail coverage, and the restrictive covenants that protect practice goodwill. He advises on HIPAA compliance and the handling of protected health information throughout a transaction, including patient-record custody and transfer, business associate agreements, and breach notification under HIPAA and Florida law. This focus is personal as well as professional: Christopher comes from a dental family and grew up close to the realities of running a practice.
